Terms and Conditions
About our terms
These terms and conditions of use (Terms) govern your access to and use of this website (Site).
These Terms apply between KaurMaxwell Limited (trading as Business Breakup) (we, us or our) and you, the person accessing or using the Site (you or your).
You should read these Terms carefully before using the Site. By using the Site or otherwise indicating your consent to them, you agree to be bound by these Terms. If you do not agree with any of these Terms, you should stop using the Site immediately.
These Terms apply to any parts of the Site, its functionality and content provided to you free of charge for information purposes only.
Your use of the Site is also subject to our Privacy Policy and Cookie Policy.
The information on this Site is not legal advice
This is the most important term on this page.
The content on this Site is general information about our areas of practice and the legal topics we cover. It is not legal advice, and it is not a substitute for advice on your own circumstances.
Legal outcomes turn on facts. Two clients with similar issues can face very different duties, risks and options. Nothing on this Site takes account of your position, and you should not act or refrain from acting on the basis of it. If a decision matters, take professional advice on the facts before you make it.
Reading this Site, submitting an enquiry form, using live chat or speaking to us on the telephone does not create a solicitor-client relationship or any other professional relationship between you and KaurMaxwell Limited (trading as Business Breakup), and does not make us your adviser. We act for you only once we have carried out our client acceptance procedures and issued an engagement letter, and then only on the terms of that letter. Where an engagement letter conflicts with these Terms, the engagement letter governs the work we do for you.
We are not able to give advice to both sides of the same matter. Sending us information does not oblige us to act, and does not by itself make that information confidential in the way a formal engagement would.

We aim to keep the Site available and functioning reliably. However, the Site may be made temporarily unavailable due to:

- events outside of our reasonable control.
We may update or change the Site to:
- improve functionality, security or performance;

- reflect changes to our service.
If changes materially reduce core functionality you reasonably rely on (for example, for an ongoing account feature), we will take proportionate steps to inform you.
We do not guarantee that the Site will be compatible with all devices or software. You are responsible for ensuring your device and internet connection meet reasonable requirements.
We may suspend or terminate access or operation of the Site at any time as we see fit.
Information on the Site (accuracy and reliance)
We try to make sure that the Site is accurate, up-to-date and free from bugs, but we cannot promise that this will be the case. We also cannot promise that the Site will be fit or suitable for any particular purpose.
The Site may contain general information, guides or editorial content. Unless we expressly state otherwise, any content is provided for general information purposes and is not tailored to you. Any reliance that you may place on the information on the Site is at your own risk.

Ownership, use and intellectual property rights
The Site, including its software, design, text, images, video, audio, multimedia content and other information or material available on the Site (Content) is owned by us or our licensors and protected by intellectual property laws.
Nothing in these Terms grants you any legal rights in the Site or the Content other than as necessary for you to access it.
By using the Site, you agree to not, or not attempt to:
- copy, reproduce, distribute, create or modify derivative works from the Site; or
- adjust, delete or circumvent any notices (including intellectual property notices) associated with the Content.
Business Breakup and the KaurMaxwell name and logo are our trade marks. Other trade marks and trade names may also be used on the Site or in the Content. Use by you of any trade marks on the Site or in the Content is strictly prohibited unless you have our prior written permission.
Unless you have our prior written permission, you must not:
- use any automated process, software, or script to extract, scrape, crawl or collect data or Content from this Site in any manner, including but not limited to using web crawlers, bots, or spiders;
- aggregate, collect, or compile Content for commercial or non-commercial purposes. This includes, but is not limited to, the use of Content to create databases, directories, or other aggregated content; and
- use any artificial intelligence (AI) tools, machine learning algorithms, or other automated technologies to analyse, process, or generate material based on or through the use of Content. This includes, but is not limited to, using the Content:
- to train AI models;
- for any form of automated content generation; or
- as input to an AI system as a prompt, request, question, instruction or similar.
By accessing and using this Site, you agree to comply with the restrictions in this clause 8. Any attempt to bypass these restrictions may result in legal action and/or termination of access to the Site.
Hyperlinks and third party sites
The Site may contain hyperlinks or references to third party advertising and websites. Any hyperlinks or references are provided for your convenience only.
We have no control over third party advertising or websites and accept no legal responsibility for any content, material or information contained in them. The display of any hyperlink and reference to any third party advertising or website does not mean that we endorse that third party's website, products or services.
If the Site integrates third party services, or you choose to click on a hyperlink to a third party service, your use of that third party site may be subject to the third party's terms and privacy policies.
Our responsibility to you
If we breach these Terms or are negligent, we are responsible to you for loss or damage you suffer that is a foreseeable result of our breach or negligence. When we say 'foreseeable' we mean that, at the time these Terms were formed, it was either clear that the loss or damage would occur or you and we both knew that it might reasonably occur, as a result of something we did (or failed to do).
We are not responsible for any loss or damage that was not foreseeable. We are also not responsible for any loss or damage that was not caused by us, or which results from your breach of these Terms, your internet connection, or any third party systems out of our control.
The Site is for your professional and business use. We do not accept responsibility for any indirect or consequential loss or damage arising from your use of the Site.
We do not exclude or limit liability where it would be unlawful to do so, including for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Nothing in these Terms limits the rights and remedies you are entitled to under consumer protection law.
Suspension and termination
We reserve the right to suspend or terminate your access to our Site if you breach these Terms, or where this is considered necessary for security, legal or fraud-prevention reasons.
Where possible, we will notify you to explain our reasons for doing so and how you can appeal or resolve the issue.
Your privacy and personal information
Your privacy and personal information are important to us. Any personal information that you provide to us will be dealt with in line with our Privacy Policy, which explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information and how to contact us and supervisory authorities in the event you have a query or complaint about the use of your personal information.
Complaints
If you have a complaint about the Site, including a complaint regarding its content or security, you can contact us by using the contact details set out in clause 2 (About us and contact information).
If your complaint cannot be resolved as set out above or you are unhappy with the outcome, you may want to submit your complaint to an accredited provider of alternative dispute resolution (ADR) services, details of which can be found on the Chartered Trading Standards Institute website. ADR is a process for resolving disputes that does not involve going to court. If you do not wish to use ADR or are unhappy with the outcome of ADR, you can still bring court proceedings.
General legal terms
Changes to these Terms: We may make changes to these Terms to reflect changes in law or regulation, changes to the Site and its functionality, or for security or operational reasons. When we do this, our updated Terms will be displayed on the Site with a 'last updated' date at the top. Where a change might materially impact you, we will make reasonable efforts to notify you. If you continue to use and access the Site following these changes, you agree to be bound by the updated Terms.
Events beyond our control: We are not liable to you if we fail to comply with these Terms because of circumstances beyond our reasonable control.
No waiver: If we do not enforce a provision of these Terms immediately, we do not waive our right to do so later.
Severability: If any part of these Terms is found to be unlawful or unenforceable, the rest remains in force.
No third party rights: No one other than us or you has any right to enforce any of these Terms.
Governing law: The laws of England and Wales apply to these Terms, although if you are resident elsewhere you will retain the benefit of any mandatory protections given to you by the laws of that country.
Jurisdiction: Any disputes will be subject to the non-exclusive jurisdiction of the courts of England and Wales. This means that you can choose whether to bring a claim in the courts of England and Wales or in the courts of another part of the UK in which you live.
